1. Binding Contractual Agreement

These Terms of Service constitute a legally binding agreement between Genius Marketing FZ, doing business as Top Margin (“Publisher,” “We,” or “Us”), a company incorporated in Dubai, United Arab Emirates, and you (“Subscriber”). By accessing our newsletters, website, SMS alerts, or associated media, you agree to these Terms and our Privacy Policy, incorporated by reference. If you do not accept these Terms, you must discontinue use and unsubscribe.

2. Publisher Status (No Fiduciary Duty)

2.1 Information, Not Advice

Top Margin is a digital media publisher, not a financial institution. We are NOT investment advisors, broker-dealers, or wealth managers, and we are not registered with the SEC, FINRA, the UAE Securities and Commodities Authority (SCA), or any other regulatory body. Our content is for educational and informational purposes only. No material herein constitutes a solicitation, recommendation, endorsement, or offer to buy or sell any securities, crypto-assets, precious metals, or other financial instruments.

2.2 No Client Relationship

Engaging with our content does not create an advisor-client relationship. You are solely responsible for your own financial decisions, and we assume no fiduciary duty toward you.

3. High-Risk Warning & Liability

3.1 Volatility & Total Loss

3.2 No Warranties; Accuracy

3.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PUBLISHER, ITS OFFICERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OR INABILITY TO USE OUR MATERIALS, INCLUDING TRADING LOSSES, LOSS OF PROFITS, OR DATA LOSS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

4. Third-Party Offers & Affiliate Mechanics

4.1 Affiliate Model

In accordance with the FTC Endorsement Guides (16 C.F.R. Part 255), we disclose that our business model relies on curating and distributing offers from third-party partners (“Advertisers”). We may receive compensation (CPA, CPL, or flat fees) when you interact with these offers. We do not vet the solvency or legality of these third-party Advertisers.

4.2 Your Due Diligence

It is your responsibility to verify the legitimacy of any external project, exchange, or platform before depositing funds. We disclaim all liability for the actions of third-party vendors linked in our emails or texts.

5. Proprietary Rights

All market analysis, charts, and commentary provided by the Publisher are the intellectual property of Genius Marketing FZ. You are granted a limited, revocable, non-transferable license to read the content for personal, non-commercial use. You may not redistribute, republish, or sell our reports, and automated scraping of our content is strictly prohibited.

6. Electronic & Mobile Communications Consent (TCPA)

6.1 Email Dispatches

You consent to receive financial intelligence reports, market alerts, and curated promotional offers from our partner network. You may revoke this consent at any time using the “Unsubscribe” mechanism in every transmission.

6.2 SMS Market Alerts

By providing your mobile number and opting in via a non-pre-ticked checkbox, your opt-in constitutes prior express written consent under the Telephone Consumer Protection Act (TCPA) to receive recurring automated marketing and informational text messages via an Automatic Telephone Dialing System (ATDS), from Top Margin. Consent is not a condition of purchase. Your consent is logged with a timestamp, IP address, and source URL.

6.3 Frequency, Rates & Carrier Disclaimer

Message frequency varies based on market activity. Standard message and data rates may apply. T-Mobile and all other participating carriers are not liable for delayed or undelivered messages.

6.4 Opt-Out & Non-Sharing

You may terminate SMS alerts at any time by replying STOP, UNSUBSCRIBE, or QUIT; reply HELP for assistance. SMS opt-in consent and data will not be shared with third parties.

7. System Integrity & Acceptable Use

You agree to use the Service strictly for lawful, personal purposes. You are prohibited from: deploying automated scripts, bots, or AI-crawlers to scrape our platform; attempting to disrupt our server infrastructure or email/SMS delivery systems; and harvesting subscriber metadata for unauthorized solicitation or commercial exploitation.

8. Indemnification

You agree to defend, indemnify, and hold harmless the Publisher, its parent entity Genius Marketing FZ, and its officers against any claims, financial damages, or legal expenses arising from your breach of this Agreement or your violation of any law or third-party right.

9. Dispute Resolution & Governing Law

9.1 Governing Law

The Publisher is incorporated in Dubai, United Arab Emirates. This Agreement is governed by the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Our U.S. mailing address in Dover, Delaware is a registered correspondence address only and does not alter the governing jurisdiction.

9.2 Arbitration

Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be resolved exclusively through binding arbitration administered in Dubai, UAE, on an individual basis. Judgment on the award may be entered in any court of competent jurisdiction.

9.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration against the Publisher.

9.4 Mandatory Consumer Rights Carve-Out

Nothing in this Section limits any rights you may have under the mandatory consumer-protection laws of your jurisdiction of residence. Where applicable law — including California law or EU member-state law — prohibits the application of foreign governing law, mandatory venue, or class-action waivers, those provisions shall not apply to you. TCPA claims by U.S. residents remain subject to U.S. federal law.

10. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary and the remainder shall continue in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Publisher regarding the Services.

11. Modifications

We reserve the right to amend these Terms at any time. Continued use of the Service following the posting of changes constitutes your acceptance of the new Terms.
